| Mission Statement |

| The Santa Monica Convention and Visitors Bureau, Inc. is a private, non-profit corporation formed in 1982. Under contract |
| to the City of Santa Monica, the purpose of the Bureau is to promote Santa Monica as a conference, business and leisure |
| travel destination. As a sales and service organization, the Bureau acts as the marketing representative for local businesses |
| and the community as a whole. |

| The Bureau enhances the image of the City, coordinates its hospitality resources and generates interest |
| in Santa Monica throughout the travel and convention industries. By working closely with tour operators, |
| meeting planners, travel editors, and leisure and business travelers, the Bureau helps to boost the local |
| economy. |
| Composition |
| III. |
| The Convention and Visitor's Bureau is guided and directed by an 11-person board of directors drawn |
| from Santa Monica's community and business leadership. Directors shall be selected for four-year terms |
| beginning July 1 of each year. One-third of the members of the board shall be appointed each year, and |
| a director may serve no more than two full consecutive terms. The Santa Monica City Council shall |
| select five directors, the Board of Directors of Santa Monica Area Chamber of Commerce shall select |
| five directors, and the City Manager of the City of Santa Monica or his designee shall serve as a director. |
| Pursuant to Section 2.32.280 of the SMMC - no Santa Monica City employee may serve as a member of |
| any Board or Commission. |
